Agreement

ReviewNudger™ is operated by ReviewNudger LLC, a Georgia limited liability company. By signing up for or using ReviewNudger™, you agree to these terms. If you are using ReviewNudger on behalf of a business, you represent that you have the authority to bind that business to these terms.

What ReviewNudger does

The ReviewNudger platform sends automated review requests via SMS and email after customer payments, completed appointments, or manual triggers. For Clover App Market accounts, automation is limited to qualifying fully paid Clover orders. It syncs Google reviews to your dashboard and uses AI to draft replies that you review, edit, and publish yourself by default. ReviewNudger does not auto-post reviews. It only posts replies automatically when you explicitly enable the per-location AI auto-reply setting for eligible synced Google reviews.

Clover integration

If you install through the Clover App Market, you authorize ReviewNudger to access the minimum Clover merchant, order, payment, refund, customer, and app subscription data needed to provide the service. ReviewNudger does not initiate, route, surcharge, or otherwise process your customer payment transactions.

The Clover Marketplace plan accepts automated triggers only from Clover. Other payment processors, Zapier payment triggers, and direct payment webhooks are outside that plan. You can disconnect in ReviewNudger; uninstalling from Clover My Apps is the authoritative way to revoke Clover access and end Clover App Market billing.

Your account

You are responsible for your login credentials and all activity that occurs under your account. You must provide accurate business information, which is needed for SMS compliance, Google integration, and billing.

Acceptable use

You agree not to:

  • Send messages to people who have not done business with you.
  • Generate, post, or solicit fake reviews.
  • Send spam or unsolicited bulk messages.
  • Violate applicable law, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
  • Interfere with the service or attempt to access other users’ data.

SMS and messaging

Messages are sent on your behalf, and you are responsible for having an appropriate business relationship and voluntary SMS consent for each recipient. SMS consent cannot be required as a condition of purchase.

Review request SMS messages are typically one message per transaction. Message and data rates may apply. Customers can reply STOP to opt out or HELP for help. SMS activation may take multiple business days; email fallback is available in the meantime. Carriers are not liable for delayed or undelivered messages.

Google integration

You authorize the connection to your Google Business Profile during setup. We access Google data only as described in our Privacy Policy. You can disconnect the integration at any time from your account settings.

AI-generated content

AI reply drafts are suggestions by default. You are responsible for reviewing each draft and deciding whether to publish it. If you enable AI auto-reply for a location, you authorize ReviewNudger to publish generated replies for eligible synced Google reviews under that setting. We do not guarantee the accuracy, tone, or appropriateness of AI-generated content.

Billing and cancellation

Direct subscriptions are billed through Stripe and auto-renew each billing period. Clover App Market subscriptions are $29 per month, billed and managed through Clover, and follow the trial, proration, cancellation, and refund terms displayed by Clover. Clover Marketplace accounts are never billed through Stripe for the base plan.

You can cancel a direct subscription through ReviewNudger. Canceling during a free trial ends the trial and your access immediately, and you are not charged. Canceling after the trial takes effect at the end of the paid billing period, and you keep access until then. To cancel a Clover App Market subscription, uninstall ReviewNudger from Clover My Apps. If you believe a charge was made in error, email support@reviewnudger.com. We may change direct pricing with 30 days notice. Clover pricing changes are disclosed and administered through Clover under the applicable App Market terms.

Referral rewards

Eligible account owners may share their personal referral link with business owners they know. You must clearly tell the recipient that you may receive a reward. You may not use spam, unsolicited bulk outreach, misleading claims, paid ads using our brand, or self-referrals, including referrals between businesses under common ownership or control.

A referral qualifies for one $50 USD ReviewNudger billing credit after the referred business creates a new account through the link and completes two successful monthly payments for a direct Stripe base-plan subscription. The referring account must also be billed directly through Stripe. Clover-billed accounts and subscriptions, add-ons, taxes, credits, and other charges do not qualify. The reward remains on hold for seven days after the second qualifying payment. A refund, dispute, chargeback, payment reversal, fraud, duplicate attribution, account deletion, or violation of these terms may make a referral ineligible before the credit is applied. Review counts, ratings, content, and other review activity never affect referral eligibility.

After our eligibility review, we apply the credit to the referring account owner's Stripe customer balance for use on future ReviewNudger invoices. The credit is not cash and is not transferable. Referral links use last-touch attribution for up to 60 days, but a previously accepted referral under a separate written partner arrangement takes precedence. An eligible business attributed through a self-serve referral link receives a 30-day first-subscription trial instead of the standard 14 days, then pays the same price. The extended trial does not apply to self-referrals, invalid or disqualified referrals, Clover subscriptions, partner arrangements, or subscription restarts. We may suspend or end the program for future referrals, but credits already applied remain final.

Your data

You own your data. We do not sell it. Our use of your data is described in our Privacy Policy. If you cancel your account and request deletion, your data will be removed within 30 days, except where retention is required by law. Clover uninstall and disconnect trigger the shorter credential deletion and Clover-derived data redaction described in the Privacy Policy.

Service availability

We work to keep ReviewNudger available and reliable, but we do not guarantee uninterrupted service. SMS delivery, email delivery, Clover API access, and Google API access depend on third-party providers.

Limitation of liability

ReviewNudger is provided “as is.” We are not liable for indirect, incidental, or consequential damages arising from your use of the service. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

Termination

We may suspend or terminate your account for violations of these terms, unresolved payment failure, or conduct that poses a risk to other users or providers. We will attempt to notify you before taking action.

Changes to these terms

We may update these terms from time to time. If we make significant changes, we will notify you by email or through an in-product notice. Continued use of ReviewNudger after changes take effect constitutes acceptance of the updated terms.

Governing law

These terms are governed by the laws of the State of Georgia, United States.
